TERMS & CONDITIONS

These Terms and Conditions govern the supply of goods and services by Amberlite Projects Ltd (“Amberlite”, “we”, “our”, “us”) to business customers (“Customer”, “you”, “your”).

These terms apply to all quotations, designs, specifications, supply agreements, purchase orders, and contracts unless otherwise agreed in writing.

IMPORTANT: Amberlite Projects operates on a BUSINESS-TO-BUSINESS (B2B) basis only.

  1. DEFINITIONS

1.1 Goods means products, lighting equipment, fixtures, fittings, components and materials supplied by Amberlite Projects Ltd.

1.2 Services means lighting design, specification, technical advice, sourcing, project support and related consultancy services.

1.3 Bespoke Goods means customised, project-specific, modified, made-to-order or non-standard products.

1.4 Contract means the agreement between Amberlite and the Customer for supply of Goods and/or Services.

1.5 Quotation means any proposal, estimate, schedule or pricing document issued by Amberlite.

  1. APPLICATION OF TERMS

2.1 These Terms apply to all sales and services supplied by Amberlite Projects Ltd.

2.2 Any purchase terms issued by the Customer shall not apply unless accepted by Amberlite Projects Ltd in writing.

2.3 Any variation to these Terms must be agreed in writing.

2.4 Marketing materials, drawings, specifications and images are illustrative only and do not form part of the Contract unless expressly agreed.

  1. QUOTATIONS & ORDERS

3.1 Quotations remain valid for 30 days unless otherwise stated.

3.2 Orders are only accepted once confirmed by Amberlite Projects Ltd in writing.

3.3 The Customer is responsible for reviewing all quotations, specifications, quantities, drawings and schedules before acceptance.

3.4 Acceptance of a quotation, purchase order, payment of deposit, or written instruction to proceed constitutes acceptance of these Terms.

3.5 Amberlite Projects Ltd reserves the right to withdraw quotations before acceptance.

  1. DESIGN SERVICES

4.1 Amberlite Projects Ltd provides a lighting design and supply services only and does not undertake electrical installation unless otherwise agreed in writing.

4.2 All lighting layouts, CAD drawings, schedules, specifications and design documents remain the intellectual property of Amberlite Projects Ltd until payment has been received in full.

4.3 Customer approval of drawings, layouts, specifications and product schedules shall be deemed acceptance for procurement purposes.

4.4 Amberlite Projects Ltd shall not be liable for delays caused by changes to approved designs.

4.5 Any redesigns, additional revisions or scope changes after approval may be chargeable.

  1. PRICING & PAYMENT

5.1 Prices are exclusive of VAT unless stated otherwise.

5.2 Payment terms shall be determined by Amberlite Projects Ltd and may vary depending on project scope, trading history and credit status.

5.3 New customers may be required to pay on a proforma basis.

5.4 Approved account customers may receive 30-day credit terms from invoice date.

5.5 Deposits may be required for bespoke or project-specific items.

5.6 Amberlite Projects Ltd reserves the right to suspend orders where payment is overdue.

5.7 Late payments shall incur interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 together with reasonable recovery costs.

  1. LEAD TIMES & DELIVERY

6.1 Any lead times quoted are estimates only.

6.2 Delivery dates are dependent upon:

• supplier availability
• customer approvals
• receipt of payment
• receipt of all required project information

6.3 Amberlite Projects Ltd shall not be liable for delays outside its reasonable control.

6.4 Customers should not commit to installation dates, labour, equipment hire or third-party costs until Goods have been delivered.

6.5 Risk transfers upon delivery. Ownership remains with Amberlite Projects Ltd until payment has been made in full.

  1. RETURNS & CANCELLATIONS

7.1 Due to the nature of the products supplied, returns are accepted only at Amberlite Projects Ltd’s discretion.

7.2 Bespoke, made-to-order, customised or specially procured items are non-returnable and non-refundable.

7.3 Cancellation requests must be submitted in writing.

7.4 Orders already placed with suppliers may incur cancellation, handling, storage and restocking charges.

7.5 Approved returns must be unused and returned in original condition.

  1. WARRANTY

8.1 Unless otherwise stated, products supplied by Amberlite Projects Ltd are covered by the relevant manufacturer’s warranty only.

8.2 Amberlite Projects Ltd will provide reasonable assistance in administering warranty claims with suppliers where applicable.

8.3 Warranty periods and coverage vary by manufacturer and product.

8.4 Warranty claims may require:

• proof of purchase
• photographs
• return of goods for inspection
• supplier assessment

8.5 Warranty does not cover:

• incorrect installation
• misuse or abuse
• fair wear and tear
• accidental damage
• modification by third parties
• failure to follow manufacturer guidance

8.6 Amberlite Projects Ltd accepts no liability for labour costs, access equipment, contractor attendance, loss of use, delays or consequential costs arising from warranty claims.

  1. INSPECTION, SHORTAGES & DAMAGE

9.1 Customers must inspect goods upon delivery.

9.2 Any shortages, transit damage or visible defects must be reported within 48 hours of receipt.

9.3 Any concealed defects must be reported within a reasonable period after discovery.

9.4 Goods must not be installed where damage or defects are identified.

9.5 Amberlite Projects Ltd reserves the right to inspect, repair, replace or refer claims to suppliers before accepting liability.

  1. CUSTOMER RESPONSIBILITIES

10.1 Customers are responsible for:

• confirming project requirements
• checking drawings and specifications
• verifying dimensions and quantities
• ensuring products are suitable for intended use
• ensuring installation is carried out by competent persons

10.2 Any information supplied by the Customer shall be deemed accurate unless otherwise advised.

10.3 Amberlite Projects Ltd shall not be liable for errors arising from incomplete or incorrect information supplied by the Customer.

  1. LIABILITY

11.1 Nothing within these Terms excludes liability which cannot legally be excluded.

11.2 Subject to clause 11.1, Amberlite Projects Ltd’s total liability shall not exceed the total value of the relevant order.

11.3 Amberlite shall not be liable for:

• indirect or consequential loss
• loss of profit
• loss of revenue
• project delays
• contractor costs
• loss of opportunity
• business interruption
• reputation damage

11.4 Amberlite Projects Ltd shall not be liable for delays or failures caused by:

• supplier shortages
• logistics disruption
• force majeure events
• manufacturing delays
• customer approvals

11.5 Customers shall not withhold payment due to disputes unrelated to the invoiced amount.

  1. INTELLECTUAL PROPERTY

12.1 All drawings, specifications, lighting layouts, schedules, calculations, presentations and related materials remain the property of Amberlite Projects Ltd unless otherwise agreed.

12.2 No documents prepared by Amberlite Projects Ltd may be copied, reused, distributed or issued to third parties without written consent.

12.3 Supply of goods does not transfer ownership of design work unless expressly agreed.

  1. CONFIDENTIALITY

13.1 Both parties agree to keep confidential any commercial, technical or business information exchanged during projects.

13.2 This obligation continues after completion of the Contract.

  1. DATA PROTECTION

14.1 Amberlite Projects Ltd processes personal and business information only as necessary to fulfil contractual obligations.

14.2 Information may be shared with suppliers, couriers, insurers and service providers where necessary.

14.3 Further information is contained within our Privacy Policy.

  1. TERMINATION

15.1 Amberlite Projects Ltd may suspend or terminate supply where:

• invoices remain unpaid
• required information is not provided
• project instructions are delayed
• insolvency events occur
• contractual obligations are breached

15.2 Any work completed and costs incurred up to termination remain payable.

  1. FORCE MAJEURE

16.1 Amberlite Projects Ltd shall not be liable for delays or inability to perform caused by circumstances beyond reasonable control including supplier delays, labour shortages, transport disruption, government action, weather events or utility interruptions.

  1. GENERAL

17.1 Failure to enforce any provision shall not constitute waiver.

17.2 If any provision is deemed invalid, remaining provisions remain enforceable.

17.3 These Terms represent the entire agreement between the parties unless otherwise agreed in writing.

  1. GOVERNING LAW

18.1 These Terms shall be governed by and interpreted in accordance with the laws of England and Wales.

18.2 The courts of England and Wales shall have exclusive jurisdiction.
